TERMS AND CONDITIONS OF SERVICE

THESE TERMS AND CONDITIONS FORM A LEGAL AGREEMENT BETWEEN YOU AND THE PRIZE WHEEL APPLICATION (THE "APPLICATION") of GRAND PRIZE NETWORK, LLC ("GrandPrizeNetwork") AND GOVERN YOUR USE OF THE PRIZE WHEEL APPLICATION. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS AND CONDITIONS, YOU MAY NOT USE THE APPLICATION.
REQUIREMENTS FOR USE OF PRIZE WHEEL APPLICATION

The Application is available only for individuals aged 13 years or older. If you are 13 or older but under the age of 18, you should review this Agreement with your parent or guardian to make sure that they understand it and consent to your use of the Application.

CHANGES
GrandPrizeNetwork reserves the right at any time to modify this Agreement and to impose new or additional terms or conditions on your use of the Application. Such modifications and additional terms and conditions will be effective immediately and incorporated into this Agreement. Your continued use of the Application will be deemed acceptance thereof.

CONTENT
All text, graphics, user interface(s), photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "Content"), including but not limited to the "look and feel" and arrangement of such Content, contained in this Application are owned and/or licensed by GrandPrizeNetwork and is protected by copyright and other intellectual property rights and unfair competition laws. You may download, view, and operate a single copy of this Application for its intended purpose for your personal, non-commercial use on an iOS or Android device, but no part of the Application and no Content otherwise may be copied, reproduced, or distributed in any way to any other computer, server, website or other medium without GrandPrizeNetwork's express prior written consent. All rights reserved. All trademarks, service marks and logos are property of their respective owners.

IPOD, IPAD, IPHONE AND ANDROID (THE "DEVICES") GAMES AND APPLICATIONS
Updates to your existing compatible Device's firmware may render your downloaded version of the Application and/or any game incompatible. Games and/or applications obtained through the use of the Application may not be compatible with future generations of the Devices.

IN-APP PURCHASES
You may purchase the right to use an advertisement-free version of the Application by completing and submitting the relevant order form in the Application and paying the applicable fee to us. We will continue to make the advertisement-free version of the Application available to you for a period of at least 12 months following the date of your purchase. We reserve the right to discontinue the provision of the Application and Application services at any time following the end of that 12 month period.

TERMINATION
We may terminate your right to use the Application immediately, without notice to you, if, in our sole discretion, you fail to comply with any of these terms and conditions of use or engage in any fraudulent, criminal or other unauthorized activity.

DISCLAIMER
GRAND PRIZE NETWORK, LLC AND THE SERVICES OFFERED THROUGH THE PRIZE WHEEL APPLICATION ARE PROVIDED "AS IS" WITHOUT WARRANTY, REPRESENTATION, CONDITION OR GUARANTEE OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES, REPRESENTATIONS, CONDITIONS OR GUARANTEES OF QUALITY.

Limitations on Liability/Exclusion of Warranties
GrandPrizeNetwork has not reviewed any third-party websites or other services linked to the Application and is not responsible for the content, accuracy, or opinions of any such websites or services. GrandPrizeNetwork uses reasonable efforts to include accurate and up-to-date information in the Application, but makes no warranties as to its accuracy.

GrandPrizeNetwork has no responsibility for any transactions and communications between you and any third party, including but not limited to any personal information you may choose to provide to any third party.

GrandPrizeNetwork shall not be liable for any direct, indirect, incidental, consequential, or punitive or other damages or losses of any kind whatsoever arising out of your access to, or use of, the Application, including but not limited to any failure of performance, error, omission, interruption, defect, or computer virus, or the deletion, failure to store, misdelivery of, or unavailability of any information, material, products, services, applications, or features even if advised of the possibility of such damages or losses. Our maximum liability to you for all claims, including but not limited to negligence, shall in no event exceed the amount you have paid to us for use of the Application. By using the Application, you agree to release and hold harmless GrandPrizeNetwork, its affiliates, officers, directors, members, and employees from any and all claims, demands, damages, costs, and expenses of any kind whatsoever relating in any way to use of the Application or any information or materials relating to the Application.

LIABILITY AND APPLICABLE LAW
Nothing in these Terms and Conditions shall limit or exclude any liability which may not be so limited or excluded under applicable law. This provision shall take precedence over the other provisions of these Terms and Conditions.

Miscellaneous
These Terms and Conditions are accepted upon your use of the Site. These Terms and Conditions operate to the fullest extent permissible by law. These Terms and Conditions are governed by the laws of the State of Nevada, without regard to principles of the conflicts of laws, and may not be modified except as expressly stated herein. Any disputes relating hereto or to any use of this Site shall be resolved exclusively in the State or Federal Courts located in the State of Nevada, Clark County. You and GrandPrizeNetwork both consent to the jurisdiction of such courts for any such disputes. If any provision of these Terms and Conditions is unlawful, void, or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

GrandPrizeNetwork controls and operates the Application from its headquarters in Nevada, USA, and makes no representation or warranty that the Application is appropriate or available for use in any other jurisdiction. If you use this Application from elsewhere, you are responsible for compliance with all applicable local laws.

FOR UK RESIDENTS: You may cancel a contract entered into with us through the Application at any time within the period beginning upon the conclusion of the contract and ending at the end of 14 days after the day on which the contract is entered into. You do not have to give any reason for your cancellation. You agree that we may begin the provision of paid-for services before the expiry of that 14 day period. In order to contract on the basis described in this paragraph, you must inform us of your decision to cancel. You may inform us by means of any clear statement setting out the decision. You may inform us using the cancellation form that we will make available to you. To meet the cancellation deadline, it is sufficient for you to send your communication concerning the exercise of the right to cancel before the cancellation period has expired. If you cancel a contract on the basis described in this paragraph, you will receive a full refund of any amount you paid to us in respect of the contract. We will refund money using the same method used to make the payment, unless you have expressly agreed otherwise. In any case, you will not incur any fees as a result of the refund. We will process the refund due to you as a result of a cancellation on the basis described in this paragraph without undue delay and, in any case, within the period of 14 days after the day on which we are informed of the cancellation.
